Terms of Service

Welcome to SubJara, a product of Jota Innovations Limited, a company registered with the Corporate Affairs Commission of Nigeria. These Terms of Service ("Terms") govern your use of SubJara's web-based group payment platform ("Service"). By creating an account, using our services, or accessing any part of our platform, you agree to be bound by these Terms.

1. Service Overview

SubJara provides digital tools that allow groups such as alumni associations, cooperatives, or social clubs to collect dues, track payments, manage members, and automate reminders. The platform facilitates collection, visibility, and reporting but does not act as a bank or financial custodian.

2. Account Eligibility & Responsibilities

To use SubJara, you must:

• Be at least 18 years old
• Register with accurate and complete information
• Keep your login credentials secure
• Accept full responsibility for all activity conducted under your account

You agree to notify us immediately at support@subjara.com if you suspect unauthorized use of your account.

3. Group Ownership & Fund Administration

The user who creates a group on SubJara is automatically designated as the funds administrator ("Administrator") for that group. As Administrator, you:

• Control all group settings, including the account to which funds will be withdrawn
• Are solely responsible for the security, correctness, and validity of the withdrawal account provided
• Accept full liability for any misrouted or disputed disbursements resulting from incorrect information or unauthorized access

SubJara is not liable for lost, misdirected, or disputed funds once disbursement is initiated based on your instructions.

4. Acceptable Use

You may only use SubJara for lawful purposes. You agree not to:

• Collect funds for fraudulent, deceptive, or unlawful purposes
• Violate financial regulations or anti-money laundering laws
• Attempt to bypass SubJara's systems or payment mechanisms
• Share your account access with unauthorized parties

We reserve the right to suspend or terminate accounts involved in prohibited activities.

5. Payment Processing

All payments on SubJara are securely processed by Paystack, a licensed and compliant payment processor in Nigeria.

• SubJara does not store or process card, bank, or payment information
• When a payment is initiated, users are redirected to Paystack's secure checkout interface
• SubJara only receives non-sensitive metadata (e.g., amount, status, reference) for record-keeping and display purposes
• Paystack complies with PCI DSS and local financial regulations
• Users agree to Paystack's Terms of Service and Privacy Policy

For issues related to payment failures, delays, or reversals, users should contact their bank or Paystack directly.

6. Fees

SubJara charges service fees based on your selected plan:

• Free Plan: 3% fee on all collections
• Plus Plan: 0% on the first ₦100,000 monthly; 2.5% thereafter
• Paystack processing fees are separate and additional
• All applicable fees are automatically deducted before funds are settled into your wallet or account

7. Withdrawals & Disbursement Policy

Funds collected through SubJara are disbursed only at the request of the group Administrator.

• Withdrawal requests are reviewed and approved within 24 to 48 hours
• Approved disbursements are processed and executed on the 4th day of each month
• SubJara reserves the right to delay disbursement in cases of suspicious activity or unresolved disputes

You are responsible for ensuring the withdrawal account is accurate and accessible. SubJara is not responsible for delays caused by incorrect details, bank issues, or third-party delays.

8. Data & Privacy

We collect and store personal information required to operate the service effectively. All data is handled in accordance with our Privacy Policy.

By using the Service, you consent to:

• Our use of third-party infrastructure such as Firebase and Paystack
• Email or in-app communication regarding your account or updates
• Basic analytics to improve the platform and prevent abuse

We do not sell user data or share personal information outside these essential purposes.

9. Intellectual Property & Brand Usage

All content, features, and branding on SubJara—including but not limited to the name SubJara, our logo, visual assets, interface designs, and any related materials—are the intellectual property of Jota Innovations Limited and are protected under applicable copyright, trademark, and intellectual property laws.

You agree not to:

• Reuse, reproduce, or distribute our name or logo without prior written permission
• Imitate or copy SubJara's branding in your own materials, websites, or communications
• Register domains, social handles, or other materials that may be confused with SubJara

We may, at our sole discretion, grant you permission to use the SubJara name or logo (e.g., in press releases or promotional content), but such usage must comply with our brand guidelines and may be revoked at any time.

10. Availability & Support

We aim to provide continuous access to the Service but do not guarantee uninterrupted availability. Planned maintenance, feature updates, or technical issues may cause temporary downtime.

For support, reach us at support@subjara.com. We typically respond within 24 to 48 business hours.

11. Limitation of Liability

SubJara is provided on an "as-is" basis. Jota Innovations Limited disclaims all warranties, express or implied. We shall not be liable for:

• Loss or misappropriation of funds due to user error
• Failed, delayed, or reversed payments by third-party processors
• Inaccurate group or withdrawal details provided by users
• Loss of access to your data or account
• Indirect, incidental, or consequential damages

In all cases, our liability is limited to the total amount of fees paid by you to SubJara in the preceding 90 days.

12. Termination

You may cancel your account at any time. We reserve the right to suspend or terminate accounts for:

• Breach of these Terms
• Fraudulent or suspicious behavior
• Abuse of the platform or other users

Upon termination, access to your groups and data will be restricted, and your group wallet will be settled to your verified withdrawal account.

13. Changes to These Terms

We may update these Terms periodically. Significant changes will be communicated via email or platform notification. Continued use of SubJara after changes are posted constitutes your acceptance.

14. Legal Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of Nigerian courts.
